Terms of Service for Padi Chat

These Terms of Service ("Terms") form a binding agreement between you and NexGen UX & Engineering LLC ("Padi," "we," "us," or "our") governing your use of the Padi Chat mobile application and any related services (collectively, the "App"). By creating an account or using the App you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are under the age of majority in your country of residence (typically 18), you may only use the App with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the App you represent that you meet these eligibility requirements.

You must provide accurate, current, and complete information when you register, and keep it accurate as long as your account is active. You are responsible for all activity that occurs under your account and for keeping your phone number and authentication credentials secure.


2. Your Account

2.1 Phone-number authentication

Padi authenticates users via SMS one-time-password (OTP) tied to your phone number. You must own and control the phone number you register. We may suspend or terminate your account if we have reason to believe the phone number is not yours or has been used to circumvent these Terms.

2.2 Identity verification (KYC)

Certain features — including cash-out, high-value transfers, and merchant or driver onboarding — require identity verification under applicable anti-money-laundering laws. You agree to provide truthful identity documents (government-issued ID, selfies, address proof) and to update them when they change. You authorize us and our partners to verify the documents against public and licensed identity databases.

2.3 One account per person

You may not maintain more than one active account without our express permission. We reserve the right to merge, suspend, or terminate duplicate accounts.


3. Acceptable Use & Community Standards

3.1 Zero tolerance for objectionable content and abusive users

Padi includes user-generated content surfaces — Discover posts and comments, Marketplace listings, profiles, and direct messages. We enforce the following community standards with zero tolerance:

You will not post, share, transmit, or solicit content that is:

  • unlawful, fraudulent, deceptive, or in violation of any third party's rights;
  • harassing, threatening, bullying, doxxing, or hateful toward any person or group;
  • sexually explicit, pornographic, or otherwise NSFW; sexual content involving minors is strictly prohibited and will be reported to law-enforcement authorities;
  • violent, gory, or that incites violence, terrorism, or self-harm;
  • discriminatory on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristic;
  • spam, scams, phishing, malware, or unauthorized commercial solicitations;
  • impersonating another person, brand, or entity.

You will not use the App to:

  • harass, intimidate, threaten, stalk, or abuse another user, including via direct messages or comments;
  • coordinate harassment campaigns;
  • attempt to access another user's account or impersonate them;
  • harvest user data without consent;
  • interfere with, disable, or circumvent any moderation, security, or rate-limiting mechanism;
  • reverse engineer, decompile, or otherwise attempt to extract the App's source code (except to the extent expressly permitted by applicable law).

Violation of these standards may result in immediate removal of the offending content, suspension or permanent termination of your account, forfeiture of any pending balances or referral rewards, and where appropriate, referral to law enforcement.

3.2 Marketplace prohibited items

Marketplace listings must be truthful, legal in your jurisdiction, and must not advertise or sell:

  • firearms, ammunition, explosives, or other weapons;
  • illegal drugs, drug paraphernalia, or regulated medical products without proper licensing;
  • counterfeit goods, stolen property, or items obtained through fraud;
  • live animals (other than properly licensed pet adoptions in jurisdictions that permit them);
  • human remains or body parts;
  • hazardous chemicals or biological agents;
  • adult sexual services or pornography;
  • digital goods that violate intellectual-property rights (cracked software, pirated media, stolen accounts);
  • recalled or unsafe consumer products.

We reserve the right to remove any listing for any reason and to suspend or ban sellers who repeatedly violate these rules.

3.3 Reporting and blocking

Users can report any post, comment, listing, or chat message by tapping the menu (⋯) on the relevant content and selecting "Report." Users can also block other users from the same menu; blocking immediately hides the blocked user's content from your view and notifies our moderation team to investigate the blocked account.

3.4 Moderation and 24-hour SLA

Our moderation team reviews all flagged content and block reports within 24 hours. We use automated filters (keyword detection, URL-count heuristics, and — as our technology matures — machine-learning-based moderation including image classification) to surface objectionable content at submission time. Flagged content is held in a pending state pending human review; content that fails automated screening or accumulates multiple user reports is removed and the responsible accounts are warned, suspended, or permanently banned at our discretion.


4. User-Generated Content License

You retain ownership of the content you create on Padi. By posting, uploading, or transmitting content through the App, you grant Padi a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works of, communicate, publish, publicly perform, publicly display, and distribute that content for the purposes of operating, improving, and promoting the App and our services. This license ends when you delete the content or your account, except to the extent the content has been shared with others who have not deleted it, or where retention is required by law.

You represent and warrant that you have all rights necessary to grant this license and that your content does not infringe the rights of any third party.


5. Payments, Wallet, and Cash-Out

5.1 Wallet balance

Your in-app wallet balance reflects funds you have added, received, or earned through use of the App. Wallet balance is not interest-bearing and is not insured by any deposit-insurance scheme. Wallet balance may be subject to fraud holds, dispute holds, regulatory holds, or other restrictions described in our payments documentation.

5.2 Adding funds, transfers, and payouts

Funds added via card or bank are processed by third-party payment processors (currently Stripe and our regional banking partners). Transfers between Padi users are recorded on our ledger. Cash-out to agent locations is governed by separate cash-payout terms surfaced at the time of cash-out.

5.3 Fees and rates

Fees, foreign-exchange rates, and any applicable taxes are displayed in-app prior to confirmation of a transaction. By confirming a transaction you agree to the fees and rates displayed.

5.4 Disputes and chargebacks

If you believe a transaction is unauthorized or in error, contact our support team within 60 days. We will investigate in good faith and may, at our discretion, reverse the transaction, freeze the recipient's wallet pending resolution, or escalate to law enforcement. Reversal is not guaranteed; chargebacks initiated through your card or bank are subject to that institution's terms.

5.5 Subscriptions

If you subscribe to Padi Pro or any other paid tier, the subscription auto-renews until cancelled. You may cancel at any time through the App Store / Play Store subscription settings. No refunds are issued for partial subscription periods except where required by law.


6. Rides and Deliveries

Riders, drivers, food merchants, grocery merchants, pharmacy merchants, and delivery couriers using Padi accept additional terms surfaced at the time of onboarding, including conduct standards, payout schedules, cancellation policies, and insurance requirements. Padi facilitates the connection between parties but is not itself a transportation, food, or pharmacy provider. We do not guarantee the availability, quality, or punctuality of any ride or delivery.


7. Intellectual Property

The App, including its software, design, trademarks, logos, content authored by Padi, and the compilation of user-generated content, is owned by Padi and its licensors and is protected by international copyright, trademark, and other intellectual-property laws. Except for the limited license granted to you to install and use the App on devices you own or control, no rights are granted.

You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary notice in the App.


8. Third-Party Services

The App integrates with third-party services (Stripe, Twilio, Google Maps, Sentry, RevenueCat, Supabase, and others). Your use of those features is also subject to the third party's terms and privacy policy. We are not responsible for the acts or omissions of third-party services, except as required by law.


9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any user-generated content.


10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PADI, ITS AFFILIATES, OR THEIR DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PADI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.


11. Indemnification

You agree to indemnify, defend, and hold harmless Padi and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the App, your content, or your violation of these Terms or any applicable law.


12. Termination

You may stop using the App at any time and may delete your account in-app under Settings → Account → Delete Account or by visiting https://getpadi.app/delete-account.

We may suspend or terminate your account immediately, without notice, if we believe you have violated these Terms, engaged in fraud or abuse, or otherwise pose a risk to other users or to Padi. On termination the licenses granted to you under these Terms end immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) survive.


13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the App shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by law, you waive any right to participate in a class action.

Notwithstanding the foregoing, where required by applicable consumer-protection law in your country of residence, you retain the right to bring a claim in your local courts or with your local consumer-protection authority.


14. Changes to These Terms

We may modify these Terms at any time. When we make material changes we will provide notice through the App (such as a banner or a re-acceptance modal) at least 30 days before the changes take effect, where reasonably possible. Your continued use of the App after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree, stop using the App and delete your account.
